Terms of Service

1.Acceptance of Terms

By accessing or using Alect’s website, platform, and services (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services. These Terms apply to all visitors, customers, and users of alect.ai and any related applications.

2.Description of Services

Alect Inc. (“Alect”, “we”, “us”) provides AI-assisted workforce software and services focused on sales execution, revenue protection, and business process automation for companies. The specific Services provided to a customer are described in the applicable agreement, order form, or statement of work.

3.Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and keep it current. You may not share account credentials except as permitted by your agreement with Alect.

4.Acceptable Use

You agree not to: (a) use the Services for any unlawful purpose; (b) interfere with or disrupt the Services; (c) attempt to gain unauthorized access to any part of the Services or third-party systems; (d) misrepresent your identity or affiliation; (e) use the Services to send spam, unsolicited commercial messages, or content that violates applicable law; or (f) reverse engineer the Services except as permitted by law.

5.Fees and Billing

Fees, payment terms, and billing schedules are set out in your applicable agreement or order form. Amounts are due as stated in those documents. You are responsible for taxes associated with your use of the Services.

6.Intellectual Property

Alect retains all rights in the Services, including software, models, content, and documentation. You retain all rights in your own data. You grant Alect a limited license to process your data as needed to provide the Services.

7.SMS and Communication Consent

Our current SMS program covers service and account messages, including requested AI-agent testing messages, appointment confirmations, report notifications, and support follow-ups. Opt in by separately selecting the optional, unchecked SMS consent box on the assessment contact form. Providing your phone number alone is not consent, and consent is not a condition of purchase. Message frequency varies. Message and data rates may apply. Reply STOP to stop recurring SMS; a final confirmation may be sent. Reply HELP or email jay@alect.ai for help. Carriers are not liable for delayed or undelivered messages. We do not send promotional texts under this consent. A future promotional program requires separate express consent and appropriate registration. See alect.ai/sms-terms and alect.ai/privacy for program and privacy details.

8.Third-Party Services

The Services may interact with third-party systems and services. Alect is not responsible for the availability, accuracy, or policies of third-party services.

9.Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.Limitation of Liability

To the maximum extent permitted by law, Alect will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from your use of the Services. Alect’s total liability for all claims will not exceed the fees you paid to Alect in the twelve (12) months preceding the claim.

11.Indemnification

You agree to indemnify and hold Alect harmless from claims arising from your violation of these Terms or applicable law.

12.Termination

Alect may suspend or terminate access to the Services for violation of these Terms or non-payment. You may stop using the Services at any time. Sections that should survive termination (including intellectual property, disclaimers, and limitations of liability) will survive.

13.Changes to These Terms

We may update these Terms from time to time. The current version will always be posted at alect.ai/terms with the “Last Updated” date above. Continued use of the Services after changes constitutes acceptance.

14.Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Providence County, Rhode Island.
