Terms of Service

Effective Date: September 2026

Acceptance of Terms

By accessing or using ALECT.AI services, you agree to be bound by these Terms of Service. If you do not agree, you may not use our services.

Services Description

ALECT.AI provides business assessment, planning services (Plan Phase), infrastructure building (Build Phase), scaling support (Scale Phase), AI Workforce subscriptions, and consulting services. The specific scope of services is defined in your individual engagement agreement.

Payment Terms

The Plan Phase is a one-time payment. The Build Phase is billed monthly or as an annual commitment. AI Workforce is a monthly subscription. All payments are processed via Stripe. Pricing details are presented privately during the sales process and confirmed in your engagement agreement.

Subscription Terms

Monthly subscriptions can be cancelled at any time. 12-month Build commitments include a 90-day pause option (one pause per 12-month period, no billing during the pause, and the commitment extends by the pause duration). No refunds are issued for partial months.

Code Ownership

ALECT.AI owns all infrastructure and code built during the Build Phase unless the client exercises the 3-year lease-to-own option ($180K) or the buyout option ($200K), as outlined in the engagement agreement.

No Guaranteed Outcomes

ALECT.AI provides planning, infrastructure, and support services. We do not guarantee specific business outcomes, revenue results, or market performance. Client results depend on many factors outside our control.

Not a Law Firm

ALECT.AI is not a law firm and does not provide legal advice. Any legal document templates we provide are starting points only and should be reviewed by qualified legal counsel.

Intellectual Property

The client retains ownership of their business data and content. ALECT.AI retains ownership of our methodologies, tools, and infrastructure code, except where a lease-to-own or buyout option is exercised per the engagement agreement.

Limitation of Liability

ALECT.AI's liability is limited to the amount paid by the client in the three months preceding any claim. In no event shall we be liable for indirect, incidental, or consequential damages.

Termination

Either party may terminate the engagement per the terms of their specific engagement agreement. Upon termination, any outstanding obligations remain payable.
